Basic conditions of the Order, Port of destination, and Amount:
960.000 ton Metric (± 5%) during a period of 1 year, in 80.000 monthly offices of ton, under condition CIF (Cost , Insurance, Freight ). These offices will begin once the buyer signs east document and that the salesman receives the payment of 10% of Advance payment. Yet this completed, the offices will begin from 20º day.

Inspection of the merchandise:
The merchandise will be inspected by company SGS, in the origin country, being this service d position of the salesman. SGS will emit a Certificate of Inspection, which will be presented/displayed by the seller at the time of the negotiation of shipping documents

Terms of Payment:
The buyer will pay to the salesman, the monthly boardings of 80.000 ton,(+/-5%), valued in USS as it follows:
Banking Transference ( Order of Payment) or Letter of Credit , as it follows: -
-10% Advance , Before the boarding, Against presentation of Commercial Invoice, by the value of USS
-90% (Balance) Against at sight shipping document presentation
Guarantee.
When receiving the payment of monthly Anticiped , the salesman is committed and it is committed to carry out the office, which must be carried out to taking more within the first 20 days of received Anticiped.
Product Documentation
A full set of the following documents will be issued in 01 (one ) original and 03 (three) copies :
1)Ocean Bill of Lading marked ·Freight Prepaid” and Clean on Board , issued to the order of “To the Bank where the Buyer, emits the LC and/or the Order of Payment " and Consigned to “Buyer”.
2)Commercial Invoice ( each signed in Original and Stamped by Seller)
3)Inspection Certificate of weight and Quality, issued by SGSat Port of Loading showing kind , quality and quantity shipped evidencing that goods are in full conformity with specifications and conditions mentioned in present Contract.
4)Beneficiary´s Certificate conforming that of All Shipping Documents were sent to Buyer´s and the hard copies have been sent by (DHL) or similar.
5)Certificate of Origin issued by or endorsed by Chamber of Commerce of the Country.
6)Phytosanitary and Health Certificates indicating that the goods are of a quality adapted for Human Consumption.
7)Packing List is showing Gross/net weight and number of Ocean Bill of Lading.

CONTRACT PROCEDURES
1º- Buyer send LOI + Buyer Bank Coordinates and Acceptance of Text from Seller..
2º- Buyer’s Bank issued the LC for Seller’s bank inside of 3 bankings days . with full text.
3º Once received the LC in the Bank of the salesman, this it will be able to make cash the collection of 10% of the Value of the monthly boarding (USS Within the following days, and with a maximum of 20, the seller will begin the boardings
- ONCE SIGNED AND ACCEPTED EAST DOCUMENT, THIS IT COULD NOT BE ANNULLED WITHOUT THE CONSENT OF THE PARTS. AND IT WILL LAST OF A YEAR, AS OF THE DATE OF EMISSION OF THE FIRST LETTER OF CREDIT.
